1.1 These terms and conditions apply to users (“you” or “User”) of the “String” services as described on our web site - (www.stringtogether.com). The Service is operated by Historic Futures Limited registered office Carpenters Workshop, Blenheim Palace Sawmills, Swan Lane, Combe Oxfordshire OX28 8ET Company number 04693909 (“Historic Futures” or “we” or “us” below). If you do not accept the terms then you may not use the Service. Our privacy policy terms also apply.
1.2 Definitions: ‘Purpose’ – Users record data relating to their goods or batches of their goods using String. Such Users (‘Originators’) can choose to share this data with other Users to whom they have shipped their goods (‘Copyholders’). Typically, a Copyholder will also incorporate the goods into a product that the Copyholder makes and seeks to sell. Copyholders may also record data as an Originator and indeed Originators may access data as Copyholders. Originators and/or Copyholders may not wish other Users to access the data save as provided below. In some situations, a Copyholder may wish to share the data with consumers or other persons who are not Users and indeed publish such information.
1.3 Users agree that when an Originator shares data using String and ships the corresponding goods to the Copyholder the Copyholder has an unrestricted licence to use and to share the data (“Licence”) with any other person other than in a situation where to share such data would infringe any data protection or other law in any relevant territory. All Users should ensure they only submit data to String where they are entitled to do so and that any data and intellectual property clearances are obtained by them in advance.
1.4 Unless expressly allowed by the Originator, receipt of or access to data using the Service does not constitute a Licence in respect of such data until the Originator has shipped the corresponding goods to the recipient. In the event that an Originator unintentionally shares data with other Users that are not Copyholders, you agree that we have the right to intervene by deleting, adding or changing data to help Users achieve the Purpose.
1.5 Without prejudice to the generality of the foregoing, you agree that Historic Futures has an unrestricted licence to use the data submitted by Users to facilitate the Purpose and a licence to use the data submitted by Users for any other purposes when such data is aggregated with other data and unattributable to any User.
2.1 In consideration of the fee you have agreed to pay us, we agree to provide the Service to you on these terms and on the terms of any additional written contract entered into between you and us. These terms apply in place of any terms offered by you whether on a purchase order or otherwise. By agreeing to use and/or using String you are deemed to accept these terms and conditions.
2.2 We warrant that we will provide the Service to you with reasonable skill and care subject to the terms and conditions below. We gather information from other Users about their products and the manufacture of those products and services and share that information with other Users. You consent to the use of such data as provided in these terms.
3.1 Historic Futures respects the privacy of all Users.
3.2 Some personal information you provide to Historic Futures may be stored outside the country in which you reside and you consent to such data export.
3.2 You agree that Historic Futures may access your String account, including its contents, to respond to service or technical issues and for any other reason at its discretion. Read our Privacy Policy for additional information available on our website at www.stringtogether.com.
3.3 We may use your contact information to market to you and provide you with information about our products and services. If you decide at any time that you no longer wish to receive such information or communications from us, please follow the unsubscribe instructions provided in any of the communications. However if you wish to continue to be a User then you need to ensure that we can contact you and use your data within the system.
4.1 Subject to our promise in 4.2, you agree that Historic Futures is not responsible nor liable for the deletion or failure to store data and/or other information on String.
4.2 Historic Futures will use industry standard precautions to ensure that data is stored and backed up in a secure and recoverable manner. We undertake to take all reasonable care of your data and implement high level security precautions to seek to ensure no data losses will occur.
4.3 We reserve the right to exclude Users where it comes to our attention they have breached these terms or supplied inaccurate data or misused the data they have supplied to us.
5.1 As a condition of your use of the String Services, you warrant to Historic Futures that you will not use the String Services for any purpose that is unlawful nor prohibited by these terms, conditions, and notices. You agree to abide by all applicable local, state, national and international laws and regulations and are solely responsible for all acts or omissions that occur under your account or authority, including the content contained in or of your transmissions through the String Services.
5.2 Historic Futures has no obligation to monitor the String Services nor any User's use thereof nor to retain the content of any user session.
5.3 However, Historic Futures reserves the right at all times to monitor, review, retain and/or disclose any information as necessary to satisfy any applicable law, regulation, legal process, threatened legal action or governmental request.
6.1 The information and services included in or available through the String Services may include inaccuracies or typographical errors. The information is periodically changed. Historic Futures does not represent nor warrant that the String Services will be uninterrupted nor error-free, that defects will be corrected, nor that the String Services nor the server that makes it available, are free of viruses nor other harmful components.
6.2 Historic Futures does not warrant or represent that the use nor the results of the use of the String Services nor the materials made available as part of the String Services will be correct, accurate, timely or otherwise reliable.
6.3 Historic Futures shall not be responsible for unauthorised access to nor alteration of your transmissions or data, any material or data sent or received or not sent or received, or any transactions entered into through the String Services.
6.4 Historic Futures is not responsible nor liable for any threatening, defamatory, obscene, offensive or illegal content or conduct of any other party or any infringement of another's rights, including intellectual property rights. Historic Futures is not responsible for any content sent using and/or included in the String Services by any third party.
6.5 You warrant that you will only supply data about yourself and your business which is accurate and up to date. If circumstances change you must notify us and have the data altered. You further warrant that any information you supply you are entitled to supply and does not breach the intellectual property rights or other rights, including without limitation any contract, confidentiality or data protection rights of any third party.
6.6 You warrant you have not relied on any representations or statements in entering into any contract with us.
6.7 Notwithstanding any other provision of this Agreement, we do not exclude any liability of ours for death or personal injury caused by our negligence nor for fraud.
6.8 Our aggregate liability under these Terms for any breach of this Agreement or liability in tort shall be limited, in the case of chargeable Services, to the fees you have paid us in the 12 months prior to any claim or £10,000 if higher and for non-chargeable services to £10,000.
6.9 Subject to clause 6.7, in no event shall we be liable to you for any indirect loss, loss of profit, loss or revenue, goodwill, business opportunity and any other indirect loss and damage howsoever caused.
6.10 All implied conditions as to fitness for purpose and satisfactory quality are hereby excluded.
6.11 We make no warranty or representation that String will save any customer specific sums of money or indeed any sums nor that the service will be 100% available and we strongly recommend that you back up all data you supply to us.
6.12 This clause shall continue notwithstanding termination of this Agreement or your use of String.
You agree to indemnify and hold Historic Futures, its parents, shareholders, subsidiaries, affiliates, officers and employees, harmless from any claim, demand, or damage, including reasonable legal fees, asserted by any third party due to or arising out of your use of or conduct on the String Services and for breach of any warranty you give in these terms. For the purpose of this clause we contract for ourselves and as trustee for our parents, shareholders, subsidiaries, affiliates, officers and employees.
Historic Futures may terminate your access to any part or all of the String Services and any related service(s) at any time, with or without cause, with or without notice, effective immediately, for any reason whatsoever. If you wish to terminate your account, you must provide us with one month’s notice in writing (email, fax, or letter).

10.1 All payment obligations are non-cancelable and all amounts paid are non-refundable. You are responsible for paying for all Services ordered whether or not the Services are actively or actually used.
10.2 Payment of fees by bank transfer will be made 12 months in advance; the payment will include the sign-up fee and 12 months subscription fee currently in effect for that Service. If paying by bank transfer, you need to provide Historic Futures with an approved purchase order number before the service is activated.
10.3 When sign-up and subscription fees become 14 days overdue, Historic Futures reserves the right to downgrade the user account to a non-paying service level and not to reinstate the original level of Service until such time as full payment of the overdue account, including a £250 reinstatement fee, has been received by us. Professional services fees are charged in advance and payable within 30 days of invoice. Historic Futures reserves the right to suspend all Service delivery until such time as full payment, including a 25% annualised interest charge (calculated pro rata), has been made.
10.4 Upgrade/downgrade services requests will be effective immediately but subject to the following terms:
(i) The sign-up fee for the upgraded Service will be the difference between the then current, generally applicable sign-up fees for the existing and upgraded Services, and will be payable in the next billing month.
(ii) Services upgraded in the middle of a billing month will be charged the upgraded monthly subscription service fee in full in the next billing month.
Downgraded Services:
(iii) The sign-up fee paid for the existing service before the downgrade is nonrefundable.
(iv) Services downgraded in the middle of a billing month will be charged the downgraded monthly subscription service fee in full in the next billing month.
These Terms, our privacy policy and any separate contract signed between us are the entire agreement between us and replace any earlier agreements. Any variation of these terms is only effective if posted by us on our site or if signed by us in writing.
12.1 You will keep strictly confidential and only use for the purposes of legitimate use of the String Service any data you obtain from use of the Service. You will not resell nor market directly nor indirectly any of our data or other User data within the Service. You will also keep confidential any financial or commercial data relating to us or String. You agree not to issue any press release or other public notice about String and any contractual arrangements you have with us without our prior written consent.
12.2 The information on our web site and within String is protected by intellectual property rights. In recording data on String, you are not assigning any ownership of that data to us or to other Users. Correspondingly, you acquire no ownership right to information submitted by other Users through your use of String or the web site. You may however be given a licence to use some information pursuant to clauses 1.3 and 1.4 strictly on the terms of this Agreement. You agree to license us to use that information to enable Users to achieve the Purpose and we may retain it in our systems after you cease to be a User.
12.3 It is your responsibility to ensure that any data you supply to us for use in the String Service you have full right and title so to supply. If that later ceases to be the case you must notify us in writing immediately. You are entitled to make one back up copy but must destroy it on demand and it remains our property.
12.4 You agree not to use any names, marks or logos of ours without our prior consent. We agree not to use any names, marks or logos of yours without your prior consent.
12.5 This clause shall continue after termination of this Agreement or after your use of String ends.
These terms are subject to English law and you agree to submit to the exclusive jurisdiction of the English courts in connection with any dispute whether relating to contractual matters or otherwise.
A failure by us to enforce any right will not amount to a waiver thereof. No rights are granted under this Agreement save as expressly so stated (including, without limitation, in clause 7) whether under the Contracts (Rights of Third Parties) Act or otherwise. Headings in these terms shall not be used in the construction of them. You may not assign your rights under this Agreement without our prior written consent. Where you wish to include data relating to a subsidiary or connected or associated company you shall notify us first and obtain our prior consent. It may be necessary to purchase another licence for a separate legal entity. You undertake that you are not dealing as a consumer in your use of the Service and only access the Service as a commercial user and for no other purpose.
